TERMS AND CONDITIONS

InstaZell LLC | Last Updated: October 23, 2026

IMPORTANT: These Terms contain an arbitration agreement and class-action waiver. They also explain that Instazell may purchase property for its own account or connect a seller with an independent investor. Please read them carefully.

1. Acceptance of These Terms

These Terms and Conditions (“Terms”) constitute a binding agreement between you and Instazell LLC, a Delaware limited liability company (“Instazell,” “we,” “us,” or “our”). These Terms govern your access to and use of Instazell.com, including all current and future subdomains operated by Instazell, such as ai.instazell.com, investor.instazell.com, app.instazell.com, and any other websites, applications, portals, automated tools, accounts, or related services owned or operated by Instazell that reference or link to these Terms (collectively, the “Services”).

Unless expressly stated otherwise, these Terms apply to all Instazell Services regardless of the domain, subdomain, platform, or device used to access them. Certain Services may be subject to additional terms, disclosures, or agreements. If additional service-specific terms conflict with these Terms, those specific terms will control solely with respect to the applicable Service, except where a signed transaction agreement provides otherwise.

By accessing or using the Services, submitting information about a property, creating an account, requesting or receiving an offer, or communicating with us through the Services, you acknowledge that you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. A separate purchase agreement, assignment, referral agreement, escrow instruction, title document, or other transaction document may apply to a particular property. If such a signed transaction document conflicts with these Terms, the signed transaction document controls for that transaction.

2. Eligibility and Authority

You must be at least 18 years old, be legally capable of entering into a binding agreement, and be located in or authorized to conduct the relevant transaction in the United States. If you use the Services for an entity, trust, estate, or another person, you represent that you have authority to act for that party and bind it to these Terms.

By submitting a property, you represent that you are an owner of the property or are legally authorized by the owner to provide the information and communicate about a potential sale. Submitting someone else’s property without authorization is prohibited.

3. What Instazell Does

Instazell helps owners of distressed or other residential and commercial real property explore potential sale options. Depending on the property, location, transaction structure, and other circumstances, Instazell may:

Unless Instazell expressly agrees otherwise in a separate written agreement, Instazell is not acting as your real estate broker, agent, fiduciary, attorney, tax adviser, financial adviser, appraiser, or property manager. Instazell does not represent that it owes you duties associated with any such relationship. You may retain your own licensed real estate professional, attorney, tax adviser, appraiser, inspector, or other adviser at your own cost.

3A. Nationwide Operations and Geographic Availability of Services

InstaZell operates a nationwide real estate technology platform connecting property owners with potential buyers and real estate investors throughout the United States, where permitted by applicable federal, state, and local laws.

InstaZell may purchase properties directly or facilitate connections between property owners and independent investors, subject to applicable laws, licensing requirements, regulatory restrictions, and transaction-specific conditions.

Although InstaZell seeks to provide services nationwide, certain services, property evaluations, purchase offers, investor connections, or real estate transactions may not be available in every state, county, municipality, or geographic area.

The availability of services may depend on applicable laws and regulations, licensing requirements, property eligibility, market conditions, investor participation, and other business considerations.

InstaZell reserves the right to expand, restrict, suspend, or discontinue services in any geographic location at its discretion, subject to applicable law and existing contractual obligations.

Submission of property information, use of our AI-powered property evaluation tools, or receipt of an estimated property value does not guarantee that InstaZell or any independent investor will make an offer, purchase a property, or complete a transaction.

Nothing in these Terms authorizes InstaZell or any third party to engage in activities requiring a professional license without holding the appropriate license or qualifying for an applicable legal exemption.

4. Property Information, Images, and User Submissions

You may submit addresses, ownership information, photographs, videos, descriptions, repair information, lien or occupancy information, documents, messages, and other content (collectively, “Submissions”). You represent and warrant that your Submissions are accurate to the best of your knowledge, that you have the right to provide them, and that they do not violate any law or third-party right. You must not upload government identification, Social Security numbers, bank credentials, private keys, seed phrases, or other highly sensitive information unless we specifically request it through a secure method.

You retain ownership of your Submissions. You grant Instazell a nonexclusive, worldwide, royalty-free license to host, copy, use, analyze, modify for formatting, and share your Submissions as reasonably necessary to operate the Services, evaluate or market the specific property to potential transaction participants, prevent fraud, comply with law, and complete a potential transaction. This license ends when the applicable purpose ends, except for copies retained as required by law, for recordkeeping, security, dispute resolution, or in backups. Instazell may remove or restrict any Submission in its discretion.

Property addresses and images may reveal sensitive information. Do not submit images showing people, license plates, security codes, valuables, personal documents, or other information that is unnecessary for evaluating the property.

5. Evaluations, Estimates, and Offers

Any automated estimate, preliminary range, verbal discussion, online result, marketing statement, or indication of interest is informational only. It is not an appraisal, broker price opinion, guarantee of value, binding offer, or commitment to close. Values and proposed terms may change after inspection, title review, verification of ownership and liens, review of property condition, market changes, due diligence, underwriting, or other factors.

No sale is binding unless all required parties sign a definitive written agreement. You are never required to accept an offer merely because you submitted information or used the Services. Likewise, Instazell and third-party investors are not required to make an offer or complete a transaction unless obligated by a signed agreement. Closing is not guaranteed and may be subject to contingencies stated in the applicable transaction documents.

Instazell strives to provide excellent service and competitive options, but does not guarantee the highest, best, or market price, a particular savings amount, a specific closing date, or any other outcome. Offers from cash or investment buyers may be below prices potentially available through a traditional listing in exchange for factors such as speed, convenience, certainty, or the buyer accepting property in its current condition.

5A. Artificial Intelligence (AI) Property Evaluation Services

AI-Powered Property Analysis. Instazell may offer artificial intelligence (“AI”) tools and automated technologies that analyze property information, photographs, publicly available records, third-party property data, and other information provided by users. These tools may evaluate visible property conditions, identify potential repairs or improvements, and generate preliminary property valuations, condition assessments, estimated adjustments, or potential offer ranges.

Informational Purposes Only. All AI-generated evaluations, property condition ratings, estimated values, and offer ranges are provided for general informational purposes only. They do not constitute a professional appraisal, certified inspection, broker price opinion, or guaranteed property valuation. AI-generated results are not binding offers to purchase real estate.

Accuracy and Limitations. AI technologies may produce inaccurate, incomplete, outdated, or inconsistent results. AI analysis may not identify hidden defects, structural damage, foundation issues, plumbing or electrical problems, environmental hazards, title defects, or other conditions that cannot be reliably determined from photographs or available information. Results may vary based on image quality, available data, market conditions, and other factors.

User Responsibility. Users are responsible for providing accurate property information and submitting photographs that reasonably represent the property’s condition. Users must have the legal right to upload all submitted materials. Users should independently verify AI-generated results and consult qualified real estate professionals, licensed appraisers, inspectors, attorneys, or other advisers when appropriate.

Third-Party Technologies. Instazell may use third-party AI models, automated valuation services, property-data providers, cloud infrastructure, and related technology providers to operate and improve its evaluation tools. Information submitted through these tools may be processed by authorized service providers as described in our Privacy Policy.

Changes to Evaluations and Offers. Instazell reserves the right to review, modify, correct, or withdraw any AI-generated evaluation or preliminary offer range based on additional information, property inspections, ownership verification, market conditions, due diligence, or other relevant factors. A property transaction becomes binding only when all required parties execute a definitive written agreement.

No Guarantee of Results. To the maximum extent permitted by applicable law, Instazell makes no guarantee regarding the accuracy, completeness, reliability, suitability, or availability of AI-generated evaluations. Nothing in this Section limits any consumer rights or remedies that cannot lawfully be waived.

6. Independent Investors and Other Third Parties

When Instazell connects you with an independent investor or other third party, that party is not Instazell’s employee, agent, partner, or representative unless we expressly state otherwise in writing. Third parties make their own decisions, conduct their own due diligence, and are responsible for their own statements, conduct, offers, contracts, fees, licensing, and performance. Instazell does not guarantee any third party or transaction.

Instazell may receive compensation, a referral fee, marketing fee, assignment fee, profit, equity interest, or other economic benefit in connection with a referral or transaction, where permitted by law and disclosed when required. You are not required to use a particular investor, title company, escrow provider, broker, agent, lender, or other provider merely because Instazell identifies or recommends one.

Any links to or services supplied by third parties are governed by their own terms and privacy practices. You should independently investigate and select transaction participants.

7. Purchase Transactions, Title, Escrow, and Property Condition

A property purchase or sale will be governed by the applicable signed purchase agreement and closing documents. The parties may use an independent title company, escrow holder, closing attorney, or other settlement provider as required or permitted by applicable law. Instazell does not control an independent settlement provider and is not responsible for that provider’s acts, omissions, delays, security practices, or decisions.

You are responsible for providing complete and accurate information concerning ownership, authority to sell, occupants, tenants, leases, liens, assessments, taxes, judgments, probate, bankruptcy, litigation, boundary disputes, environmental conditions, code violations, insurance claims, and other facts that may affect the property or transaction. Required seller disclosures and nonwaivable rights under applicable law remain in effect.

Whether a property is purchased “as is,” whether inspections or access are required, which party pays particular costs, and any right to cancel will be stated in the signed purchase agreement and applicable law. These Terms do not replace state-specific real estate disclosures or transaction documents.

8. Cash and Cryptocurrency Consideration

A transaction may provide for consideration in U.S. dollars, cryptocurrency, or a combination, but only if expressly stated in a signed transaction agreement and accepted by the applicable title, escrow, closing, banking, custody, and compliance providers. A reference to a “cash offer” generally means an offer not conditioned on the buyer obtaining conventional purchase financing; it does not guarantee closing or require payment in physical currency.

Cryptocurrency payment is not available for every transaction or jurisdiction. The transaction documents must identify the digital asset, amount or valuation method, pricing source and time, wallet and network requirements, transaction fees, confirmation standard, custody or conversion procedure, allocation of volatility risk, tax reporting, error procedures, and any lawful fallback to U.S. dollars. No party should send cryptocurrency based solely on website, email, text, or verbal instructions. Wallet instructions must be independently verified through the closing provider using a trusted contact method. Cryptocurrency transfers may be irreversible and may involve volatility, tax, cybersecurity, sanctions, anti-money-laundering, and regulatory risks. Instazell does not provide investment or tax advice.

9. Accounts and Security

If account features are offered, you must provide accurate and current information, safeguard your credentials, and promptly notify Instazell of suspected unauthorized access. You are responsible for activity conducted through your account to the extent permitted by law. Instazell may refuse, suspend, or terminate access to protect users, investigate misconduct, comply with law, or enforce these Terms.

10. Communications; Calls, Email, and Text Messages

When you provide contact information, you authorize Instazell and service providers acting on its behalf to contact you about your inquiry, account, property, offer, or transaction using calls, email, and text messages, including messages sent using automated technology where permitted by law. Consent to receive marketing communications is not a condition of requesting an offer, using the Services, or selling a property. Marketing texts will be sent only with any consent required by applicable law.

Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. You may opt out of texts by replying STOP to the number that sent the message and may request help by replying HELP. You may unsubscribe from marketing emails using the link in the email. An opt-out does not prevent nonmarketing communications that are necessary to administer an existing request or transaction, where permitted by law. You represent that you are the subscriber or customary user of any telephone number you provide and will notify us if the number changes.

Calls may be monitored or recorded for training, quality, security, and compliance purposes where permitted by law. Additional consent will be obtained where required.

11. Acceptable Use

You may use the Services only for lawful purposes. You may not:

12. Intellectual Property

The Services and their text, designs, software, graphics, logos, trademarks, and other content supplied by Instazell are owned by or licensed to Instazell and are protected by applicable intellectual-property laws. Subject to these Terms, Instazell grants you a limited, revocable, nonexclusive, nontransferable license to use the Services for your personal or internal business purpose of evaluating a potential property transaction. No other rights are granted.

13. Privacy

Our collection, use, disclosure, and retention of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy should be reviewed before submitting property or contact information. If these Terms and the Privacy Policy conflict regarding personal-information practices, the Privacy Policy controls.

14. No Professional Advice; Fair Housing

Information available through the Services is general information and is not legal, tax, accounting, investment, financial, engineering, environmental, appraisal, or real-estate advice. Obtain advice from qualified professionals regarding your circumstances. Instazell supports equal housing opportunity and does not intend to discriminate or facilitate discrimination based on any characteristic protected by law.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” INSTAZELL DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. INSTAZELL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION, ESTIMATE, INVESTOR, PROVIDER, OFFER, OR TRANSACTION WILL BE ACCURATE, AVAILABLE, SUITABLE, OR SUCCESSFUL.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Instazell and its MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; PROPERTY VALUE CHANGES; OR DAMAGES ARISING FROM THIRD PARTIES, CYBERATTACKS, COMMUNICATION FAILURES, OR CRYPTOCURRENCY VOLATILITY OR TRANSFER ERRORS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSTAZELL’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO INSTAZELL FOR USE OF THE SERVICES DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. THIS LIMIT DOES NOT ALTER PAYMENT OR PERFORMANCE OBLIGATIONS EXPRESSLY STATED IN A SIGNED PROPERTY TRANSACTION AGREEMENT. LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Instazell and its members, managers, officers, employees, contractors, and service providers from third-party claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from your Submissions, your unauthorized or unlawful use of the Services, your breach of these Terms, your violation of another person’s rights, or your fraud or willful misconduct. This obligation does not require you to indemnify an Instazell party for that party’s own fraud, willful misconduct, or liability that cannot lawfully be shifted to you.

18. Dispute Resolution; Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE EXCEPTIONS BELOW, YOU AND INSTAZELL AGREE TO RESOLVE CLAIMS THROUGH INDIVIDUAL BINDING ARBITRATION AND WAIVE THE RIGHT TO A JURY TRIAL OR CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18.1 Informal Resolution

Before filing arbitration or a lawsuit, the complaining party must send a written notice describing the dispute, supporting facts, and requested relief to the contact in Section 23. The parties will attempt in good faith to resolve the dispute for 30 days after receipt. Either party may seek temporary relief necessary to preserve rights during that period.

18.2 Arbitration

Any claim arising from or relating to the Services or these Terms that is not resolved informally will be resolved by binding, individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules, or another mutually agreed administrator. The Federal Arbitration Act governs this Section. The arbitrator may award the same individual remedies available in court and will issue a reasoned written decision. Hearings may occur remotely, in the county where you reside, or at another mutually agreed location. Instazell will pay fees it is required to pay for this agreement to be enforceable.

18.3 Exceptions and Transaction Agreements

Either party may bring an individual claim in small-claims court if eligible. Either party may seek injunctive relief in court for actual or threatened infringement, misuse, or unauthorized access involving intellectual property, confidential information, or computer systems. If a signed property purchase, sale, assignment, escrow, or other transaction agreement contains a dispute-resolution clause, that clause controls disputes arising from that agreement or transaction.

18.4 Class-Action and Jury Waivers

Claims may be brought only in an individual capacity. To the maximum extent permitted by law, neither party may participate as a plaintiff or class member in a class, collective, consolidated, private-attorney-general, or representative proceeding. If this class waiver is finally found unenforceable as to a particular claim or request for relief, that claim or request will be severed and decided by a court after the remaining claims are arbitrated.

18.5 Opt-Out Right

You may opt out of this arbitration agreement by sending a written notice to the contact in Section 23 within 30 days after the date you first accept these Terms. The notice must include your name, mailing address, email address, telephone number, a statement that you opt out of arbitration, and your signature. Opting out will not affect any other part of these Terms.

19. Governing Law and Court Venue

Except for Section 18, which is governed by the Federal Arbitration Act, these Terms are governed by Delaware law without regard to conflict-of-laws principles, except to the extent the law of your state must apply and cannot be waived. For any dispute permitted to proceed in court, you and Instazell consent to the personal jurisdiction of the state and federal courts located in Delaware, except that an eligible small-claims action may be brought where permitted and a signed transaction agreement may specify a different venue.

20. Changes, Suspension, and Termination

We may update these Terms by posting the revised version and changing the effective date. Material changes will apply prospectively, and we will provide additional notice when required by law. Your continued use after revised Terms become effective constitutes acceptance. We may modify, suspend, or discontinue all or part of the Services, and may restrict or terminate access for violation of these Terms, security concerns, legal requirements, or other legitimate business reasons. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, indemnification, dispute, and miscellaneous provisions.

21. State-Specific and Nonwaivable Rights

Real-estate, consumer-protection, privacy, telemarketing, electronic-signature, escrow, title, and licensing laws vary by state. These Terms do not waive rights or disclosures that cannot legally be waived. State-specific notices, transaction forms, cancellation rights, agency disclosures, or other terms may apply. If a provision conflicts with mandatory law, it will be enforced only to the maximum extent permitted, and the remaining provisions will continue in effect.

22. Miscellaneous

These Terms, the Privacy Policy, and any applicable signed transaction agreement constitute the entire agreement concerning their respective subject matter. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, except as specifically stated in Section 18. You may not assign these Terms without our written consent. Instazell may assign them in connection with a merger, financing, reorganization, sale of assets, internal company transfer, or by operation of law. Headings are for convenience only. Electronic records and signatures may be used to the extent permitted by law. No third party is a beneficiary of these Terms unless expressly stated.

23. Contact and Legal Notices

Questions about these Terms may be sent to [email protected]. Formal legal notices and arbitration opt-out notices must also be mailed to: Instazell LLC, 8 The Green, STE B, Dover, DE 19901, United States. A notice is effective when received. Please direct legal notices to the mailing address above.
